ESG Governance Structure

Mohawk’s Environmental, Social and Governance (ESG) Executive Council is composed of the Chief Sustainability Officer, Chief Financial Officer, Chief Operating Officer, Chief Accounting Officer, VP—Business Strategy and General Counsel, and the president of each of the Company’s three reporting segments, and is responsible for making progress toward the Company’s sustainability strategy and goals. The Council reports to the Company’s Board and CEO and informs, advises and engages with the Board and the Board’s Nominating and Corporate Governance and Audit Committees on ESG and sustainability topics. The ESG Executive Council also identifies and assesses ESG risks and opportunities and makes recommendations for addressing them and reviews and approves global environmental and social goals.
